VFD Group shareholders approve 25 kobo dividend at 10th AGM
SHAREHOLDERS of VFD Group Plc have approved a dividend payout of 25 kobo per share for the 2025 financial year at the company’s 10th Annual General Meeting (AGM) held in Lagos.
The AGM, which took place physically in Lagos, also saw shareholders adopt the company’s audited financial statements for the year ended December 31, 2025, alongside the reports of the directors and external auditors.
Shareholders re-elected Ms Omolola Bolusire as a director of the company after she retired by rotation and presented herself for re-election.
The meeting further approved the re-appointment of PricewaterhouseCoopers as external auditors of the company in line with the provisions of the Companies and Allied Matters Act (CAMA), 2020.

In another resolution, shareholders authorised the board of directors to determine the remuneration of the auditors for the 2026 financial year.
The AGM also ratified the election of members of the statutory audit committee. The committee comprises Alhaji Kabiru Tambari, Mr Chijioke Ugorji, and Ms Ifeoma Thecla Okonkwo as shareholder representatives, while Mr Kelvin Orogun and Mr Adeniyi Adenubi will serve as board representatives.
In compliance with Section 238 of the CAMA, 2020, the company disclosed the remuneration of its managers on page 174 of its annual report.
Shareholders additionally approved the remuneration of non-executive directors at N127.88 million for the financial year ending December 31, 2026, with effect from January 1, 2026.
