Ellah Lakes shareholders reject re-election of two directors at AGM

SHAREHOLDERS of Ellah Lakes Plc have rejected the re-election of two directors during the company’s annual general meeting (AGM) held in Lagos.

The resolutions were passed at the AGM of the company held in Lagos, on May 5, 2026. According to the resolutions released by the company, shareholders rejected the re-election of Enotie Ogbebor and Charles Anajemba, both of whom retired by rotation and sought fresh terms on the board.

However, Ellah Lakes shareholders approved the re-election of Evans Jakpa-Johns and Emmanuel Jakpa as directors of the company.

At the meeting, shareholders also received and adopted the audited financial statements of the company for the year ended December 31, 2025, alongside the reports of the directors, auditors and audit committee.

The shareholders further approved the re-appointment of Olabode Akande & Co as the company’s auditors for the 2026 financial year and authorised the board of directors to determine the auditors’ remuneration.

As part of decisions reached at the AGM, shareholders elected Ifeanyi Okoahaba, Oladayo Makanjuola and Benedict Ugwuede as shareholder representatives on the statutory audit committee.

The board representatives appointed to the statutory audit committee are Osaro Oyegun and Nnenna Onyewuchi.

Under the special business segment of the meeting, shareholders approved amendments to the company’s Articles of Association to allow general meetings to be conducted physically, electronically or virtually.

The company said such meetings would now be recognised as duly constituted under the amended articles.

Shareholders also authorised the board to make regulations and arrangements considered necessary for the conduct of physical, electronic and virtual meetings.

In another resolution, Ellah Lakes shareholders ratified the appointment of Nnaemeka Obiakor as a member of the board of directors.
