Dangote Refinery completes $2.5bn private placement as investor demand exceeds offer
DANGOTE Petroleum Refinery has confirmed the successful completion of a $2.5 billion private placement, describing it as one of the largest corporate capital-raising exercises ever undertaken by an African company.
The company disclosed the development on Thursday, saying the fundraising represents a key milestone in its long-term growth plans and will strengthen its financial position as it continues to expand its operations.
According to the refinery, the private placement was heavily oversubscribed, with the funds raised set aside to finance the continued expansion of its refinery and petrochemicals complex.
Investor appetite exceeds expectations
The company said the offer attracted robust interest from investors, reflecting confidence in its operations and future prospects.

“The private placement achieved 3.7 times subscription relative to the initial offer size and resulted in the issuance and allotment of approximately US$2.5 billion in new equity,” the refinery said.
It added that the proceeds would be deployed to support the ongoing expansion of the Dangote Petroleum Refinery and Petrochemicals complex.
President and Chief Executive of Dangote Industries Limited, Mr Aliko Dangote, described the transaction as a strategic initiative aimed at broadening the company’s shareholder base while complementing existing internal and external funding sources.
He said the fundraising reinforces the group’s commitment to strengthening Africa’s refining and petrochemical capacity, reducing dependence on imported petroleum products and enhancing the continent’s energy security.

Builds on earlier fundraising reports
The confirmation follows reports published on July 17 indicating that the refinery had secured $2.5 billion through a private placement ahead of a planned initial public offering (IPO) expected later this year.

Market reports last month indicated that investor subscriptions had already exceeded $2 billion during the offer. Investors were required to subscribe for at least one million shares valued at $350,000, with additional investments available in blocks of 500,000 shares. The shares are subject to a 365-day lock-up period, according to people familiar with the transaction.
The latest capital raise also aligns with earlier plans by Aliko Dangote to list about 10 percent of Dangote Petroleum Refinery and Petrochemicals FZE on multiple African stock exchanges to support the next phase of expansion across his industrial businesses.
Expansion plans continue
The successful fundraising is expected to reinforce the refinery’s capital base and provide fresh funding for its ongoing expansion programme.
Earlier, billionaire investor Femi Otedola had disclosed plans to invest $100 million in the refinery’s anticipated IPO, describing it as a long-term investment in one of Africa’s most significant industrial projects.
Beyond the planned listing, Dangote has continued to pursue ambitious growth plans, including increasing refining capacity, expanding petrochemical operations and replicating the refinery model in Kenya as part of its broader strategy to deepen industrial investments across Africa.
