Airtel Africa wins shareholder approval for dividend, director re-elections

AIRTEL Africa Plc has announced that shareholders approved all resolutions presented at its 2026 Annual General Meeting (AGM), including the declaration of a final dividend, the re-election of directors and resolutions relating to share allotments and market purchases.

The company said the resolutions were passed by shareholders through a poll at the AGM held on July 9, 2026, in London, with voting support ranging from more than 87 percent to almost 100 percent for the various proposals.

Shareholders overwhelmingly endorsed the company’s accounts and reports, the remuneration report, the appointment and remuneration of the external auditor, and the payment of a final dividend. The proposal to approve the remuneration policy also secured shareholder backing with 87.18 percent of votes cast in favour.

Investors also voted to re-elect all directors standing for re-election, including Group Chief Executive Officer Gopal Vittal, Shravin Bharti Mittal, Sunil Taldar, Koushik Dua, Tarek Gebreyes, Patrick Arkwright, Adebayo Ajumogobia, Christine Gordon and Rajan Rajagopal.

In line with the UK Listing Rules, the election of the company’s independent non-executive directors was also approved separately by independent shareholders. Each of the affected directors secured the required majority of votes from independent investors, enabling their re-election.

The AGM further approved resolutions authorising the company to allot shares, disapply certain pre-emption rights, make market purchases of its own shares and convene general meetings on shorter notice where permitted.

According to the company, 17 resolutions were passed as ordinary resolutions requiring a simple majority of shareholder votes, while 3 resolutions were approved as special resolutions requiring at least 75 percent support.

Airtel Africa said that, as of July 7, 2026, it had 3.64 billion ordinary shares in issue, including more than 6 million treasury shares, representing 3.64 billion voting rights.

The telecommunications and mobile money provider operates in 14 countries across sub-Saharan Africa, offering voice, data and mobile financial services. The company said it remains focused on expanding digital and financial inclusion while improving customer experience across its markets.
